BILL OF SALE

            In consideration of the sum of One ($1.00) Dollar, in hand paid by _____________________________(hereinafter referred to as "Purchaser"), to ___________________ (hereinafter referred to as “Seller”), and for other good and valuable consideration the receipt and sufficiency of which is hereby acknowledged, and with the intend to be legally bound hereby, Seller, by these presents, grants, bargains, sells and delivers unto Purchaser the property as described on Exhibit “A” attached hereto.

            The Purchaser hereby acknowledges delivery and possession of each item of property described in Exhibit “A” hereto and agrees to accept the property in its present condition.

            Seller hereby covenants with Purchaser that Seller is the lawful owner of the above listed property, that such property is free from all encumbrances and that the Seller will warrant and defend the same against claims and demands of all persons.
